Helm by Shiery — Terms of Service

This is a living document and may be updated as the Service evolves. We will notify you of material changes as described in Section 15.
1. Acceptance of these Terms
By accessing or using Helm (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
These Terms are a binding agreement between you and Shiery Consulting LLC, a Washington limited liability company, doing business as Helm by Shiery (“Shiery,” “we,” “us,” or “our”).
2. Description of the Service
Helm is a personal productivity application that integrates a web-based user interface, a user-owned Notion workspace (as the primary data store), the Anthropic Claude API (for AI-assisted features), and optionally Google Calendar (for calendar read access). The Service provides task management, idea capture, focus curation, and related personal productivity features.
The Service is provided “as is.” We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice for paid users when practical.
3. Eligibility
You must be at least 18 years old to use the Service. If you are under 18, you may not use the Service. See the Privacy Policy for details on minimum-age handling.
4. Accounts
You are responsible for all activity that occurs under your account. You agree to:
- Provide accurate and complete registration information.
- Keep your account credentials secure and confidential.
- Notify us promptly of any unauthorized access or security breach involving your account.
- Not share your account with others except as expressly permitted.
We may suspend or terminate your account for material violation of these Terms.
5. Your Data and Third-Party Services
You own your data. Helm stores your primary productivity data in a Notion workspace that you own and control. You grant Helm the permissions necessary to read and write to that workspace to provide the Service.
Services you connect. You may authorize Helm to access third-party services on your behalf:
- Notion — your personal data store. Governed by Notion’s Terms of Service and Privacy Policy.
- Google Calendar (optional, read-only) — governed by Google’s Terms of Service and Privacy Policy.
We are not responsible for the acts, omissions, terms, or practices of these third-party services. Your use of those services is at your own risk and under their respective terms.
Service providers Helm uses. Separate from services you connect, Helm uses providers to operate the Service — including Anthropic (AI features), Vercel (hosting), Sentry (error tracking), an authentication provider, a database provider, and a payment processor for paid plans. See the Privacy Policy for details and the current provider list.
6. Subscriptions and Payment
Certain features of the Service are offered on a paid subscription basis. If you subscribe, you agree to the following:
- Affirmative consent. You will be presented with a checkout summary clearly stating the price, billing interval, what auto-renews, the cancellation deadline, and the refund policy. You must take an affirmative action (no pre-checked boxes) to complete the purchase.
- Billing. Subscriptions are billed in advance on a recurring monthly or annual basis as selected at signup. Taxes may be added where applicable.
- Auto-renewal. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before renewal. You will receive a confirmation email after your subscription begins.
- Easy cancellation. You may cancel at any time through your account settings (a single in-app action) or by emailing us at the address below. Cancellation takes effect at the end of the current billing period; you retain paid access through that period.
- Refunds. Except where required by law, subscription fees are non-refundable once a billing period has begun. We may, at our discretion, issue prorated or good-faith refunds.
- Price changes. We may change subscription prices with at least 30 days’ advance notice by email. Price changes take effect at your next renewal; you may cancel before that renewal if you do not accept the new price.
- Failed payment. If a payment fails, we may suspend access to paid features until payment is restored.
7. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or the rights of any third party.
- Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or redistribute the Service without our express written consent.
- Use the Service to train a competing AI model or productivity system.
- Use automated means to access the Service except as expressly permitted by published API documentation.
8. Intellectual Property
Our IP. The Service — including its software, design, branding (including “Helm,” “Helm by Shiery,” and “Shiery”), trademarks, and documentation — is owned by Shiery Consulting LLC and its licensors. Except for the limited rights expressly granted in these Terms, we reserve all rights.
Your IP. You retain all ownership rights in the content you create, store, or sync through the Service (“Your Content”). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process Your Content solely to provide the Service. This grant does not give us rights to use Your Content except as described in these Terms and the Privacy Policy.
AI Outputs. Subject to applicable law and third-party provider terms, you may use AI Outputs generated for you through the Service. We do not claim ownership of AI Outputs as against you. AI Outputs may not be unique to you and similar outputs may be generated for other users; you should not assume AI Outputs are eligible for legal protection (such as copyright) without independent legal advice.
Feedback. If you submit suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them in connection with the Service.
9. AI-Assisted Features
The Service uses large language models (provided by Anthropic) to generate summaries, suggestions, categorizations, and similar outputs (“AI Outputs”). You understand and agree that:
- AI Outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI Outputs before relying on them.
- AI Outputs are generated on the basis of inputs you provide and on general model training. We do not guarantee their correctness, suitability, or fitness for any purpose.
- You should not rely on AI Outputs for legal, medical, financial, tax, safety-critical, or other advice requiring professional judgment.
- You are responsible for ensuring that inputs you send through AI features comply with applicable laws and the terms of third-party services.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Shiery Consulting LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that data will not be lost, that AI Outputs will be accurate, or that the Service will meet your specific requirements.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you to that extent.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SHIERY CONSULTING LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Shiery Consulting LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any law or the rights of a third party;
- Your Content or any content you submit to the Service.
13. Termination
You may terminate your account at any time through account settings or by contacting us. Termination does not entitle you to a refund except where required by law.
Before terminating your account, you may export your Helm-side data (account preferences, settings, usage history) via in-app Settings. Your primary content lives in the Notion workspace you own and is unaffected by Helm account termination — revoking Helm’s Notion integration immediately stops Helm’s access without affecting the data itself.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service is no longer commercially reasonable.
Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of laws principles.
Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in King County or Snohomish County, Washington, and you consent to the personal jurisdiction and venue of those courts.
15. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by email to your registered address or a prominent notice in the Service) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.
16. Mobile-app distribution
If you download Helm through the Apple App Store, Google Play, or another app marketplace, that marketplace’s terms may also apply to your use of the Service. In the case of any conflict between these Terms and the marketplace’s terms with respect to your use of the Service, these Terms govern except where the marketplace’s terms must control by their own terms or by applicable law.
17. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms posted in the Service, are the entire agreement between you and Shiery Consulting LLC regarding the Service.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- Notices. We may provide notices by email to your registered address or by posting in the Service. Notices to us must be sent to the contact address below.
